1. Order Acceptance & Confirmation

All purchase orders (“POs”) are subject to review and acceptance by Soltani Food Brokerage (SFB).
Orders are not binding unless and until confirmed in writing by SFB. SFB reserves the right to accept, reject, modify, or cancel any order prior to confirmation.

2. Delivery, Inspection & Notification

Customers must inspect all shipments immediately upon receipt.
Any issues including, but not limited to, damage, shortage, incorrect items, or visible defects must be reported in writing within twenty-four (24) hours of delivery.
Failure to provide timely notice constitutes acceptance of the shipment as delivered.

3. Claims & Return Authorization (RMA)

All claims must be submitted in writing.
No returns will be accepted without prior written authorization (RMA) issued by SFB.
No claims or disputes of any kind will be accepted after ten (10) calendar days from the delivery date, regardless of cause.

4. Credit Approval, Limits & Payment Terms

All credit sales are subject to prior approval. Customers must strictly comply with their assigned credit limit and approved payment terms.
Payment is due whichever occurs first:

  • the expiration of the approved credit term, or
  • the customer reaching their approved credit limit.

5. Past Due Accounts & Interest

Any unpaid balance not paid within the agreed credit terms shall be considered past due and will accrue interest at a rate of 2% per month, or the maximum rate permitted by law, whichever is lower.

6. Suspension or Revocation of Credit

SFB reserves the right, at its sole discretion, to suspend, modify, or revoke credit privileges at any time due to late payment, exceeded credit limits, or concerns regarding creditworthiness.

7. Title & Risk of Loss

Title to goods and risk of loss pass to the customer upon delivery to the carrier at SFB’s shipping point, unless otherwise agreed in writing.

8. Force Majeure

SFB shall not be liable for delays or failure to perform resulting from events beyond its reasonable control, including but not limited to acts of God, labor disputes, supply chain disruptions, transportation delays, governmental actions, natural disasters, or power failures.

9. Governing Law, Venue & Attorney’s Fees

These Sales & Credit Terms shall be governed by the laws of the State of California.
Any claim, dispute, or litigation arising from these terms or any sale shall be brought exclusively in Los Angeles County, California.
The prevailing party in any legal action shall be entitled to recover reasonable attorney’s fees and costs.
